These Terms of Service will govern your access and use of the Metagenics website, including the Ethical Nutrients and Inner Health brand pages now available through the Metagenics website, as well as all purchases made by you on this website (the "Site") (together, the "Services"). This Site is operated by Metagenics (Aust) Pty Ltd ("Metagenics", "we", "us" or "our"). These Terms of Service constitute a legal agreement between you (the individual using this Site) and Metagenics. By creating an account, checking out as a guest, logging into your account, or by browsing, downloading, installing or otherwise accessing and using this Site, you represent that you have read, understand and agree to be bound by these Terms of Service as updated from time to time. For the purposes of these Terms of Service, Products means all Metagenics, Inner Health and Ethical Nutrients branded products (Products).

Terms of Sale

Creating an Account

You may create an account with us using your name and e-mail address (an "Account"). If you order Products or subscribe to a Subscription, we will need your address for shipping. Users who have created an Account ("Registered Users") are able to access their accounts through the “Log In” portion of the Site and to manage their email address and shipping addresses and view their existing or past Orders. An Account is not required to receive Content or other marketing information or to submit an Order to purchase Products that may be listed on the Site. By creating an Account, you agree: (a) that you are able to, and have the appropriate authority and authorisation to, create a binding agreement with Metagenics; (b) to provide true, accurate, current, and complete information about yourself when we request it; (c) to maintain and promptly update this information to keep it true, accurate, current, and complete, to the extent the Service permits such updates; and (d) to use limited-access portions of the Site only using access credentials that we have issued to you.

Metagenics reserves the right to refuse service, to terminate Accounts, to remove or edit content, and to cancel Orders, in its sole discretion. If you have previously had your access to or use of the Site terminated by us, you may not access or use the Site under any circumstances. You should never share your Account information with third parties or allow third parties to use your Account. Please be sure to exit from your Account at the end of each session. You are responsible for all activity on your Account, including the use of your Account by other people who you may or may not authorise to use your Account. Your Account is individual to you and must not be shared with other individuals or third parties. Even if you notify us, you will be responsible for any activities that occur using your access credentials, including any charges resulting from the use of your Account. Metagenics will not be liable for any losses caused by any unauthorised use of your Account.

You may terminate your Account at any time by notifying us at info@metagenics.com.au or info@metagenics.co.nz or you may unsubscribe to an email communication by clicking the “Unsubscribe” link at the bottom of the email. Please allow 24 hours for termination to take effect. Following termination, you will not receive any further marketing communications from us unless and until you re-register for marketing communications. Our rights under these Terms of Service will expressly survive termination of these Terms of Service, the cessation of your use of or access to the Site, and termination of your Account.

Practitioner Linked Account Holders

If your Practitioner has recommended Products to you available on this Site, you may purchase those Products recommended to you by your Practitioner and other Products by using a Practitioner Linked Account.

Your Practitioner is responsible for obtaining your consent to use your personal information to assist you to purchase Products as a Practitioner Linked Account Holder, including sharing your name and email with us to facilitate this process. For any questions relating to your Practitioner’s privacy processes please contact your Practitioner directly. By creating a Practitioner Linked Account, you also consent to Metagenics collecting, using and disclosing your personal information as described in these Terms and our Privacy Policy.

Your Practitioner may link you to their account by sending us your name and email, enabling us to send an invitation to activate your Practitioner Linked Account. Once we send this invitation to you, your account will be linked to your Practitioner by your email which means that whenever you log in to your Practitioner Linked Account or make a purchase on our Site, you will see your Practitioner’s name in the header of the Site at checkout.

You may also self-connect to your Practitioner and create a Practitioner Linked Account by using the “Patient Connect” function on the Site.

As a Practitioner Linked Account Holder, your Practitioner will be notified of the volume of units of Products purchased by you on our Site through their monthly statements. These statements will include your name and the quantity of units purchased. By purchasing Products as a Practitioner Linked Account Holder, you expressly acknowledge and consent to us sharing your purchase history with your Practitioner. Your Practitioner’s use of the information we share is subject to their own privacy policy, and Metagenics is not responsible for their use or disclosure of your information once it has been provided to them.

If you receive an email linking your account with your Practitioner’s account and you do not activate the link or make a purchase on our Site within five (5) years from the date of the email invitation, your information will not be linked to your Practitioner, and the invitation will expire. We retain unactivated invitations for up to five (5) years to support practitioner-patient linkage. During this period, we retain only limited information (your name and email address) and do not use it for any marketing or unrelated purpose. We periodically review and delete or de-identify this information once it is no longer required.

You may unlink from your Practitioner at any time by using the Patient Disconnect function on the Site, or by calling Metagenics Customer Service on 1800 777 648 or emailing us at info@metagenics.com.au or info@metagenics.co.nz. If you request disconnection via our Customer Service team, please allow 48 hours for this unlinking to take effect. Following your unlinking from your Practitioner, the Guest Check-Out terms set out below will apply in relation to your ongoing purchases of Products from this Site.

Coupons and promotional codes may be provided to you and are for your individual use only. You may not transfer, reproduce, trade, offer for sale, publish, or otherwise share coupons and promotional codes unless expressly allowed to do so. Metagenics may cancel any order when it has reason to believe that any coupon or promotional code is being used by someone other than the intended recipient or in the case of suspected abuse, misuse, or fraud. Metagenics reserves the right to terminate a coupon or promotional code offering at any time and/or set expiration dates for such offers at any time, in its sole discretion. Coupon codes and promotional codes are not valid on prior purchases.

Guest Check-Out

You may purchase Products from the Services on this Site without registering for an Account and without becoming a Registered User or a Practitioner Linked Account holder. Certain features of the Services may not be available to you as a guest and without creating an Account or being a Practitioner Linked Account holder.

By submitting your email address as a Guest User, you agree that Metagenics may use your email address to contact you about your Order and, if you have opted in, to send you marketing materials, all in accordance with our Privacy Policy.

Subscriptions

By entering into a subscription program, you request the supply of the selected Products by Metagenics in accordance with the subscription plan, at the frequency you have chosen, and you agree to these terms.

If you have an Account, you may choose from the frequencies set out on the Site for that specific Product. Subscriptions may be easily modified online by logging into your Account, making your desired changes, and agreeing to any additional terms and conditions. Subscriptions will continue until cancelled. You must modify your order on the Site, for example, if you wish to skip a scheduled Order, or cancel at least twenty-four (24) hours before your next Order is placed to avoid being charged. If you choose to cancel or make changes when there are fewer than twenty-four (24) hours prior to the scheduled processing date, those changes may not be effective in time for the pending shipment. To cancel, log in to your Account and go to Manage Subscriptions and then click cancel on the subscription you wish to cancel.

Practitioner, In-Store Clinic and Student Accounts

In addition to these Terms of Service, Practitioner, In-Store Clinic and Student account holders have specific terms and conditions in their individual contracts with Metagenics. These Terms of Services apply in addition to those contracts in relation to purchases of Products made on the Site by Practitioner or Retail Accounts.

Placing Orders

When placing an Order through the Site, you must follow the instructions on the Site as to how to place your Order and for making changes to your Order before you submit it through the Site. The purchase of Products on this Site is subject to availability. When you submit an Order, you agree that you are expressly subject to these Terms of Service at the date you submitted the Order. You are responsible for reviewing the latest Terms of Service each time you submit an Order.

Once you place an Order, you will receive an e-mail acknowledging the details of your Order, including a reference number for your Order. The acknowledgement may contain an estimated shipping or delivery time as well as other relevant information as deemed necessary and appropriate by Metagenics.

We may, in our discretion, refuse to accept an Order from you for any reason, including if (i) we are unable to obtain authorisation for payment, (ii) shipping restrictions apply to a particular item, (iii) the Product(s) you order are out of stock or do not satisfy our quality control standards or are withdrawn or (iv) you do not meet the eligibility criteria set out in these Terms of Service. We will not be liable to you or any third party by reason of our withdrawing any Product(s) from the Services, including, without limitation (a) the Product(s) having been sold, (b) removing, screening, or editing any materials or content on the Services, (c) refusing to process a transaction, or (d) unwinding or suspending any transaction after processing has begun.

Products purchased by you as a Guest User or Practitioner Linked Account User must be for personal use and may not be re-sold or used for commercial purposes or for any other commercial benefit. In addition, Metagenics reserves the right to restrict multiple quantities of a Product from being shipped to any one Guest User or Practitioner Linked Account User or postal address.

Metagenics attempts to be as accurate as possible in its Product descriptions. However, Metagenics does not warrant that Product descriptions or any content or messaging on the Site is accurate, complete, reliable, current, or error-free. If a Product offered by Metagenics is not as described, your sole remedy is to return it in unused condition consistent with our Returns Policy.

Medical, Nutrition and Fitness Information

You expressly acknowledge and agree that all content, including without limitation, medical or nutrition information provided on the Services, including all text, information provided on the Services, photographs, images, illustrations, graphics, audio, video and audio-video clips, and other materials, whether provided by Metagenics or by other users or third parties, is provided for informational purposes only and is not intended to be and should not be used in place of (i) the advice of your healthcare professional, (ii) a visit, call or consultation with your healthcare professional, or (iii) information contained on or in any product packaging or label.
